1. Acceptance of Terms

By accessing or using Forthstack (the "Platform"), whether through our website, WhatsApp chatbot, or any associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and Forthstack Technologies Ltd ("Forthstack", "we", "us", or "our"). We may update these Terms from time to time. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

2. About Forthstack

Forthstack is an AI-powered real estate directory platform that enables property seekers in Nigeria to find properties via WhatsApp, and enables registered real estate agents and professionals to list and promote their available properties.

Forthstack is a directory and discovery service. We do not own, manage, or physically inspect any properties listed on the Platform. We do not act as estate agents, brokers, or advisers. Any transaction between a property seeker and an agent takes place independently of Forthstack.

3. User Types and Access

3.1 Property seekers

Property seekers may use the WhatsApp search service and browse the web platform free of charge without creating an account. By using the WhatsApp service, you consent to your messages being processed to provide property matching results.

3.2 Registered agents

Real estate professionals who wish to list properties must register for an agent account, agree to these Terms, and pay the applicable listing fee before any listing is published. Agent accounts are for business use only.

3.3 Account security

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorised use of your account at legal@forthstack.com. Forthstack is not liable for any loss resulting from unauthorised account access caused by your failure to keep credentials secure.

4. Agent Terms

4.1 Eligibility

You must be a licensed or registered real estate professional, property owner, or authorised representative to list properties on Forthstack. By registering as an agent, you confirm that you have the legal authority to advertise the properties you list.

4.2 Listing accuracy

You agree that all property listings you submit are accurate, complete, and not misleading. This includes correct pricing, location, specifications, images, and availability status. Forthstack reserves the right to remove any listing that is found to be inaccurate, fraudulent, or misleading.

4.3 Prohibited listings

You may not list properties that: (a) you do not have authorisation to advertise; (b) are subject to legal disputes that would prevent a lawful transaction; (c) are described using false or misleading information; (d) violate any applicable Nigerian law or regulation.

4.4 Listing status

Listings are only published after successful payment of the applicable fee. A listing fee does not guarantee any specific number of enquiries or transactions. Forthstack may suspend or remove listings that violate these Terms without refund.

4.5 Images and media

By uploading images to Forthstack, you confirm that you own or have the right to use those images and grant Forthstack a non-exclusive, royalty-free licence to display them on the Platform for the duration of your listing.

5. Property Seeker Terms

5.1 No verification guarantee

While Forthstack requires agents to register and pay to list, we do not independently verify the identity of agents, ownership of properties, or the accuracy of listing details. Property seekers are advised to conduct their own due diligence before entering into any property transaction.

5.2 Direct transactions

Any agreement, payment, or transaction entered into between a property seeker and an agent is entirely between those parties. Forthstack is not a party to such transactions and accepts no liability arising from them.

5.3 WhatsApp usage

The WhatsApp chatbot service is provided as a convenience. Message history, response accuracy, and service availability may vary. Forthstack is not responsible for any action taken based on information received through the WhatsApp service.

6. Payment and Fees

6.1 Listing fees

Agents must pay a non-refundable listing fee before a property is published on the Platform. Current fees are displayed on the Pricing page and in your agent dashboard. Fees are quoted and charged in Nigerian Naira (NGN).

6.2 Subscriptions

Monthly subscription plans renew automatically unless cancelled before the renewal date. You may cancel your subscription from your agent dashboard at any time. No refunds are issued for partial subscription periods.

6.3 Payment processing

All payments are processed by Paystack, a third-party payment processor. By making a payment, you also agree to Paystack's terms of service. Forthstack does not store your card or bank details.

6.4 Refund policy

Listing fees are non-refundable once a listing has been published. If a listing is removed by Forthstack for violating these Terms, no refund will be issued. If a technical error on our part prevents a listing from being published after payment, we will issue a full refund within 5 business days.

6.5 Fee changes

Forthstack may change its fees at any time. Changes to fees will be announced in the platform and will not affect payments already made for active listings.

7. Content Standards

All content submitted to Forthstack must comply with the following standards. Content must not:

Be false, misleading, or fraudulent
Infringe the intellectual property rights of any third party
Contain discriminatory language based on race, ethnicity, religion, gender, disability, or any other protected characteristic
Include any form of spam, advertising for competing platforms, or solicitation unrelated to property
Violate any applicable Nigerian federal or state law
Contain malicious code, links to harmful sites, or phishing content

Forthstack reserves the right to remove any content that violates these standards and to suspend or terminate accounts that repeatedly breach them.

8. Intellectual Property

The Forthstack name, logo, platform design, AI technology, and all associated content produced by Forthstack are the intellectual property of Forthstack Technologies Ltd. You may not copy, reproduce, distribute, or create derivative works from Forthstack's intellectual property without prior written consent.

The AI-generated summaries and responses produced by the Forthstack platform are the property of Forthstack. You may use them for the purpose of property search and discovery but not for commercial republication.

9. Disclaimers and Limitation of Liability

9.1 As-is service

The Platform is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or that property information will always be accurate or up to date.

9.2 AI limitations

The Forthstack AI chatbot and matching engine are tools to assist property discovery. Results are not guaranteed to be complete or accurate. Forthstack does not guarantee that any property returned in a search result is available, accurately priced, or suitable for your needs.

9.3 Limitation of liability

To the fullest extent permitted by Nigerian law, Forthstack shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including loss of profits, data, or goodwill. Our total liability to you for any claim shall not exceed the amount you paid to Forthstack in the 12 months preceding the claim.

10. Termination

Forthstack may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, non-payment of fees, or for any other reason at our discretion with or without notice.

You may close your account at any time by contacting us at legal@forthstack.com. Closing your account does not entitle you to a refund of any fees paid.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
